These Terms of Use ("Terms") govern your access to and use of the websites, applications, platforms, application programming interfaces ("APIs"), Model Context Protocol ("MCP") functionality, plugins, integrations, and other products and services made available by Samaya AI, Inc. ("Samaya AI," "we," "us," or "our") (collectively, the "Services").
By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you are authorized to use the Services on its behalf.
If your organization has entered into a separate written agreement with Samaya AI that governs your use of the Services, that agreement will control in the event of a conflict with these Terms.
The Services are intended for professional and business use and are not directed to consumers. You must be at least 18 years old to use the Services.
The Services may be made available to authorized users of Samaya AI customers, participants in trials, pilots or preview programs, users of free offerings, and other individuals or organizations to whom Samaya AI grants access.
You may use the Services only in accordance with these Terms, any documentation or instructions we provide, and applicable law. You are responsible for ensuring that the information you provide in connection with your account is accurate and for maintaining the confidentiality and security of your account credentials.
You are responsible for activity occurring through your account. If you become aware of unauthorized access to or use of your account, please notify us promptly at hello@samaya.ai.
Samaya AI provides an artificial intelligence-powered knowledge discovery and financial research platform and related functionality. The Services may include websites, applications, APIs, MCP functionality, plugins and integrations, including integrations with third-party products and services.
We may modify, improve, add to, suspend, or discontinue features of the Services from time to time. Access to particular features may depend on your organization's agreement with Samaya AI, your account type, third-party availability, or other applicable requirements.
We may establish, monitor, and enforce reasonable limits on use of the Services, including limits on the number of queries, requests, API or MCP calls, automated or agent-driven usage, storage, or other activity. We may throttle, queue, or suspend usage that exceeds applicable limits or that we reasonably believe is excessive, abusive, or degrades the Services for others.
We may make certain features, integrations, or functionality available on a trial, pilot, beta, preview, or early-access basis ("Preview Features"). Preview Features are provided for evaluation purposes, may be incomplete or contain errors, may be subject to additional terms or restrictions, and may be changed, suspended, or discontinued at any time without notice. Preview Features are provided "as is," and any service levels or support commitments do not apply to them unless expressly agreed in writing.
Subject to your compliance with these Terms, Samaya AI grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for their intended purposes during the period in which you are authorized to use them.
Samaya AI and its licensors retain all right, title, and interest in and to the Services, including the underlying software, algorithms, interfaces, technology, databases, tools, know-how, processes, methods, documentation, and all improvements, modifications, and derivative works of the foregoing. Except for the limited right to use the Services expressly provided in these Terms, no rights are granted to you by implication, estoppel, or otherwise.
You may not, and may not permit another person or entity to:
(a) copy, modify, or create derivative works of the Services or related documentation except as expressly permitted by Samaya AI;
(b) reverse engineer, decompile, decode, disassemble, or otherwise attempt to derive or gain improper access to any software component of the Services;
(c) sell, resell, sublicense, distribute, rent, lease, loan, or otherwise make the Services available to another person or entity except as expressly authorized by Samaya AI;
(d) share your account credentials with, or allow access to your account by, any other person;
(e) use the Services in a manner that infringes, misappropriates, or violates another person's rights or any applicable law;
(f) submit User Content that you do not have the right to provide, or that you are prohibited from sharing by law, contract, or your organization's policies;
(g) upload, transmit, or introduce viruses, malware, or other harmful or malicious code;
(h) access or search the Services through unauthorized automated means, including spiders, robots, crawlers, or similar data-mining tools;
(i) circumvent, disable, or attempt to exceed any usage limits, access controls, or technical restrictions of the Services;
(j) attempt to manipulate, jailbreak, or bypass the safeguards of the artificial intelligence features of the Services, including through prompt injection or similar techniques;
(k) use the Services or Samaya AI confidential information for unauthorized competitive benchmarking or to develop, commercialize, license, or sell a competing product, service, or technology;
(l) use the Services to develop, train, or run artificial intelligence models or APIs except where expressly authorized by Samaya AI; or
(m) interfere with, disrupt, circumvent, or compromise the security, integrity, operation, or performance of the Services.
You retain your rights in information, data, content, documents, prompts, and other materials that you or your organization provide through the Services ("User Content").
You grant Samaya AI the rights reasonably necessary to host, process, transmit, display, and otherwise use User Content to provide, maintain, secure, support, and improve the Services, subject to applicable agreements with your organization and our Privacy Policy.
You represent that you have the rights and permissions necessary to provide User Content to Samaya AI and to permit its use as contemplated by these Terms.
Samaya AI may generate or derive deidentified or aggregated information relating to use and performance of the Services, subject to applicable law and any separate agreement with your organization.
The Services may generate responses, summaries, analyses, reports, and other materials in response to your inputs ("Outputs"). Subject to your compliance with these Terms, any separate agreement with your organization, and the rights of third parties in any content included in Outputs, you may use Outputs for your internal business purposes.
Outputs may include or be derived from Third-Party Content (defined in Section 10), which remains subject to the rights of its owners and to the restrictions in Section 10. Due to the nature of artificial intelligence, Outputs may not be unique, and the Services may generate the same or similar Outputs for other users.
If you provide suggestions, ideas, comments, or other feedback about the Services ("Feedback"), Samaya AI may use that Feedback for any purpose without restriction or obligation to you. Feedback does not include User Content.
The Services use artificial intelligence and may generate, summarize, analyze, or surface information from a variety of sources. AI-generated Outputs may be inaccurate, incomplete, outdated, or otherwise contain errors.
You should exercise appropriate judgment and independently verify information when accuracy is important. The Services are intended to assist with research and analysis and should not be relied upon as the sole basis for investment or other material decisions.
Samaya AI does not provide investment, financial, legal, accounting, or tax advice through the Services. Outputs from the Services do not constitute a recommendation or solicitation to buy, sell, or hold any security or other financial instrument.
You are responsible for complying with all laws, regulations, and policies that apply to you or your organization in connection with your use of the Services and Outputs, including those relating to material non-public information, recordkeeping, communications, and internal compliance approvals.
The Services may allow you to access, connect to, or interact with third-party products, services, applications, or integrations, including services provided by Microsoft and other third parties ("Third-Party Services"). Your use of Third-Party Services may be subject to separate terms and privacy policies established by those third parties. Samaya AI does not control Third-Party Services and is not responsible for their availability, security, accuracy, or performance. Third-Party Services may be changed, suspended, or discontinued by the applicable third party, and Samaya AI does not guarantee their continued availability.
Where you access the Services through a third-party platform, such as Microsoft Copilot or another plugin marketplace or AI assistant, the platform provider is not a party to these Terms and is not responsible for the Services. Samaya AI, and not the platform provider, is responsible for the Services as described in these Terms.
The Services may include or provide access to data, filings, transcripts, research, news, market data, and other content provided by third parties ("Third-Party Content"). Third-Party Content is owned by its respective providers and may be subject to additional terms or restrictions. Unless expressly permitted by Samaya AI or the applicable provider, you may not (a) download, extract, or copy Third-Party Content in bulk; (b) redistribute, publish, sell, or otherwise make Third-Party Content available to others outside your permitted use of the Services; (c) use Third-Party Content to create or supplement a database or competing product or service; or (d) remove or alter any attribution, copyright, or proprietary notices. Samaya AI does not guarantee the accuracy, completeness, or timeliness of Third-Party Content.

You may stop using the Services at any time. If your access is provided through your organization, your organization may also end your access.
Samaya AI may suspend or terminate your access to the Services if you violate these Terms, if your authorization to use the Services ends, if required by law, or where reasonably necessary to protect the Services, Samaya AI, our customers, users, or third parties.
Upon termination of your right to use the Services, you must stop accessing and using the Services. Provisions that by their nature should survive termination will remain in effect.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, OUTPUTS, THIRD-PARTY CONTENT, PREVIEW FEATURES, AND OTHER SAMAYA AI MATERIALS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SAMAYA AI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
SAMAYA AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT INFORMATION OR OUTPUTS PROVIDED THROUGH THE SERVICES WILL ALWAYS BE ACCURATE, COMPLETE, OR CURRENT.
Nothing in these Terms limits any warranty or right that cannot lawfully be excluded.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAMAYA AI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THESE TERMS.
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Samaya AI and its affiliates, officers, directors, employees, and agents from claims, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your unlawful use of the Services, your violation of these Terms, or User Content that infringes or violates the rights of a third party.
We may update these Terms from time to time. If we make changes, we will post the updated Terms on this page and update the "Last updated" date above. Changes will become effective when posted unless otherwise stated.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
As described in the introduction to these Terms, a separate written agreement between your organization and Samaya AI governing the Services controls in the event of any conflict with these Terms.
You may not assign or transfer your rights under these Terms without Samaya AI's prior written consent. Samaya AI may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect. Samaya AI's failure to enforce a provision of these Terms is not a waiver of its right to do so later.
You agree to comply with applicable export control and sanctions laws in connection with your use of the Services.
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. To the extent permitted by applicable law, any legal action or proceeding arising from these Terms will be brought exclusively in the state or federal courts located in the Northern District of California, and you consent to jurisdiction and venue in those courts.
